By using our services, you agree to be bound by these Terms.<\/span><\/p><h2>1. Acceptance of Terms<\/h2><p><span style=\"font-weight: 400;\">By submitting the customer form, you confirm that:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">All provided data is accurate and complete<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">You are requesting the services indicated in the invoice<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">You have read and accepted these Terms and the Privacy Policy<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">A binding agreement is formed when:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The customer form is digitally signed (e.g. via e-Residency card), and<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The corresponding invoice has been paid in full<\/span><\/li><\/ul><h2>3. Services<\/h2><p><span style=\"font-weight: 400;\">estx provides, among others:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Company and NGO formation<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Liquidation services<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Legal address and contact person services<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Accounting and reporting services<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Legal paperwork<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">The exact scope of services is defined in the customer form.<\/span><\/p><h2>4. Company Formation and Liquidation<\/h2><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A one-time fee applies for company formation and liquidation services<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The service begins after:<\/span><ul><li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Submission of the customer form<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Digital signature<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Payment of the invoice<\/span><\/li><\/ul><\/li><\/ul><h2>5. Legal Address and Contact Person<\/h2><p><span style=\"font-weight: 400;\">If a company or NGO has management located outside Estonia, then it is mandatory under Estonian law to have:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A legal address in Estonia<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A designated contact person<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">These services:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Are mandatory and chargeable<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Are included in accounting packages or annual service fees<\/span><\/li><\/ul><h2>6. Accounting Services and Payment Obligations<\/h2><h3>6.1 Monthly Packages<\/h3><p><span style=\"font-weight: 400;\">By selecting a monthly accounting package:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">You commit to recurring monthly payments<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Payments are required regardless of activity level<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Obligation continues until the package is modified or terminated<\/span><\/li><\/ul><h3>6.2 Annual Package<\/h3><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Includes legal address and contact person<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Does not include accounting or annual report preparation<\/span><\/li><\/ul><h3>6.3 Invoicing<\/h3><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Invoices are issued monthly in advance<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Payment deadline: 5th day of each month<\/span><\/li><\/ul><h2>7. VAT and Pricing<\/h2><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">All prices are subject to Value Added Tax (VAT)<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">estx does not issue invoices without VAT<\/span><\/li><\/ul><h2>8. Client Obligations<\/h2><p><span style=\"font-weight: 400;\">The Client agrees to:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Submit accounting documents by the 5th day of each month<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Ensure all provided information is accurate<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Pay invoices on time<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Use own or company bank account for payments (see Section 10)<\/span><\/li><\/ul><h2>9. Special Conditions (Ukraine Clients)<\/h2><p><span style=\"font-weight: 400;\">If the founder of the company is a citizen of Ukraine and estx established the company for a citizen of Ukraine free of charge, then:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The client is obliged to be an estx client for 3 years from the moment of establishment<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">In case of early termination of the contract, a fee of 269 euros + 24% VAT must be paid<\/span><\/li><\/ul><h2>10. Payments and Source of Funds<\/h2><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Company formation must be paid by founders\/shareholders personally<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">After formation, all payments must be made from the company&#8217;s bank account<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">estx reserves the right to:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Request additional information regarding payments<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Return payments received from third parties if verification fails<\/span><\/li><\/ul><h2>11. Representatives and Power of Attorney<\/h2><p><span style=\"font-weight: 400;\">When acting via a representative:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The representative confirms accuracy of submitted data<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">All partners must consent to the establishment<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">A notarized (and if required apostilled) power of attorney must be submitted to: <a href=\"mailto:info@estx.io\">info@estx.io<\/a><\/span><\/p><h2>12. Data Processing<\/h2><p><span style=\"font-weight: 400;\">By using estx services, you:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Consent to processing of personal data as necessary<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Agree that data may be shared with third parties when required<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">Processing is conducted in accordance with the General Data Protection Regulation (GDPR).<\/span><\/p><h2>13. Confidentiality<\/h2><p><span style=\"font-weight: 400;\">Both parties agree to maintain strict confidentiality of sensitive information. Disclosure is allowed only when:<\/span><\/p><ol><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Required by law or authority<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Shared with professional advisors<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Information is already public<\/span><\/li><\/ol><h2>14. Public Registers<\/h2><p><span style=\"font-weight: 400;\">The company&#8217;s data is entered into the Estonian e-Business Register. This is a public database that contains data on all legal entities.<\/span><\/p><h2>15. Duration and Termination<\/h2><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The customer form remains valid indefinitely<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The Client may terminate services with 2 months&#8217; notice (accounting services)<\/span><\/li><\/ul><h2>16. Post-Termination Obligations<\/h2><p><span style=\"font-weight: 400;\">The Client is obligated to change the company&#8217;s registered address within 7 (seven) calendar days.<\/span><\/p><p><span style=\"font-weight: 400;\">Failure to comply with this obligation shall result in:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A contractual penalty of \u20ac600 (six hundred euros)<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Late payment interest of 1% per day for each day of delay, calculated retroactively from the date the obligation should have been fulfilled until full compliance<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">Payment of the contractual penalty does not release the Client from the obligation to change the registered address.<\/span><\/p><p><span style=\"font-weight: 400;\">The Service Provider reserves the right to claim additional damages, including the right to apply claims retroactively for the entire period during which the registered address has not been changed.<\/span><\/p><h2>17. Liability<\/h2><p><span style=\"font-weight: 400;\">estx provides services with reasonable care and professionalism.<\/span><\/p><p><span style=\"font-weight: 400;\">estx is not liable for:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Incorrect data provided by the Client<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Delays caused by authorities or third parties<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Client&#8217;s failure to meet obligations<\/span><\/li><\/ul><h2>18. Limitation of Liability<\/h2><p><span style=\"font-weight: 400;\">To the maximum extent permitted by law:<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">estx liability is limited to the amount paid for services<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">estx is not liable for indirect or consequential damages<\/span><\/li><\/ul><h2>19. Amendments<\/h2><p><span style=\"font-weight: 400;\">estx reserves the right to update these Terms at any time. Updated versions will be published on the website.<\/span><\/p><h2>20. Governing Law and Jurisdiction<\/h2><p><span style=\"font-weight: 400;\">These Terms are governed by the laws of Estonia. Any disputes shall be resolved in Estonian courts.<\/span><\/p><h2>21. Final Provisions<\/h2><p><span style=\"font-weight: 400;\">If any provision is found invalid, the remaining provisions remain in full force.<\/span><\/p><h2>22.
