Terms & Conditions

These Terms and Conditions (“Terms”) govern the use of services provided by estx.io OÜ (“Service Provider”, “estx”, “we”, “us”, or “our”) to the client (“Client”, “you”). By using our services, you agree to be bound by these Terms.

2. Acceptance of Terms

By submitting the customer form, you confirm that:

  • All provided data is accurate and complete
  • You are requesting the services indicated in the invoice
  • You have read and accepted these Terms and the Privacy Policy

A binding agreement is formed when:

  • The customer form is digitally signed (e.g. via e-Residency card), and
  • The corresponding invoice has been paid in full

3. Services

estx provides, among others:

  • Company and NGO formation
  • Liquidation services
  • Legal address and contact person services
  • Accounting and reporting services
  • Legal paperwork

The exact scope of services is defined in the customer form.

4. Company Formation and Liquidation

  • A one-time fee applies for company formation and liquidation services
  • The service begins after:
    • Submission of the customer form
    • Digital signature
    • Payment of the invoice

5. Legal Address and Contact Person

If a company or NGO has management located outside Estonia, then it is mandatory under Estonian law to have:

  • A legal address in Estonia
  • A designated contact person

These services:

  • Are mandatory and chargeable
  • Are included in accounting packages or annual service fees

6. Accounting Services and Payment Obligations

6.1 Monthly Packages

By selecting a monthly accounting package:

  • You commit to recurring monthly payments
  • Payments are required regardless of activity level
  • Obligation continues until the package is modified or terminated

6.2 Annual Package

  • Includes legal address and contact person
  • Does not include accounting or annual report preparation

6.3 Invoicing

  • Invoices are issued monthly in advance
  • Payment deadline: 5th day of each month

7. VAT and Pricing

  • All prices are subject to Value Added Tax (VAT)
  • estx does not issue invoices without VAT

8. Client Obligations

The Client agrees to:

  • Submit accounting documents by the 5th day of each month
  • Ensure all provided information is accurate
  • Pay invoices on time
  • Use own or company bank account for payments (see Section 10)

9. Special Conditions (Ukraine Clients)

If the founder of the company is a citizen of Ukraine and estx established the company for a citizen of Ukraine free of charge, then:

  • The client is obliged to be an estx client for 3 years from the moment of establishment
  • In case of early termination of the contract, a fee of 269 euros + 24% VAT must be paid

10. Payments and Source of Funds

  • Company formation must be paid by founders/shareholders personally
  • After formation, all payments must be made from the company’s bank account

estx reserves the right to:

  • Request additional information regarding payments
  • Return payments received from third parties if verification fails

11. Representatives and Power of Attorney

When acting via a representative:

  • The representative confirms accuracy of submitted data
  • All partners must consent to the establishment

A notarized (and if required apostilled) power of attorney must be submitted to: info@estx.io

12. Data Processing

By using estx services, you:

  • Consent to processing of personal data as necessary
  • Agree that data may be shared with third parties when required

Processing is conducted in accordance with the General Data Protection Regulation (GDPR).

13. Confidentiality

Both parties agree to maintain strict confidentiality of sensitive information. Disclosure is allowed only when:

  1. Required by law or authority
  2. Shared with professional advisors
  3. Information is already public

14. Public Registers

The company’s data is entered into the Estonian e-Business Register. This is a public database that contains data on all legal entities.

15. Duration and Termination

  • The customer form remains valid indefinitely
  • The Client may terminate services with 2 months’ notice (accounting services)

16. Post-Termination Obligations

The Client is obligated to change the company’s registered address within 7 (seven) calendar days.

Failure to comply with this obligation shall result in:

  • A contractual penalty of €600 (six hundred euros)
  • Late payment interest of 1% per day for each day of delay, calculated retroactively from the date the obligation should have been fulfilled until full compliance

Payment of the contractual penalty does not release the Client from the obligation to change the registered address.

The Service Provider reserves the right to claim additional damages, including the right to apply claims retroactively for the entire period during which the registered address has not been changed.

17. Liability

estx provides services with reasonable care and professionalism.

estx is not liable for:

  • Incorrect data provided by the Client
  • Delays caused by authorities or third parties
  • Client’s failure to meet obligations

18. Limitation of Liability

To the maximum extent permitted by law:

  • estx liability is limited to the amount paid for services
  • estx is not liable for indirect or consequential damages

19. Amendments

estx reserves the right to update these Terms at any time. Updated versions will be published on the website.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia. Any disputes shall be resolved in Estonian courts.

21. Final Provisions

If any provision is found invalid, the remaining provisions remain in full force.
